Terms and Conditions

These Terms and Conditions ("Terms") are a legally binding agreement between you and RootsGoods Private Limited, having its registered office at Sri Venkatadri Nivasa, 3rd Cross, ARB Colony, Ashok Nagar, Shimoga, Karnataka, India, 577205 ("RootsGoods", "we", "us" or "our").

These Terms govern your use of the RootsGoods Warehouse Management mobile application (the "App") available on the Google Play Store and through other authorised channels, together with all related features, services, content and updates (collectively, the "Service").

By installing, registering on or using the App, you confirm that you have read, understood and accept these Terms in full. If you do not accept these Terms, please uninstall the App and discontinue use of the Service.

These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules thereunder, and do not require any physical or digital signature.

1. Eligibility

You may use the App only if you can form a legally binding contract under the Indian Contract Act, 1872. You must be at least eighteen years of age.

By using the App, you represent and warrant that:

• You are an individual of sound mind and at least eighteen years of age, or you are using the App on behalf of a legal entity that has duly authorised you to do so.
• You are using the App for legitimate warehouse, storage, procurement or sale purposes connected with agricultural commodities.
• All registration information you submit is truthful, accurate, current and complete, and you will keep it updated.
• Your use of the App will not violate any applicable law or regulation.

2. Your Account

To access most features of the App, you must register an Account.

You agree to:

• Provide accurate, current and complete information at registration and to keep this information updated through the Profile section.
• Maintain the confidentiality of your password and one-time passwords, and to take all necessary steps to prevent unauthorised access to your Account.
• Accept responsibility for every activity that takes place under your Account, whether or not authorised by you.
• Notify us immediately at general@rootsgoods.com if you suspect any unauthorised access or use of your Account.

RootsGoods reserves the right, at its sole discretion, to refuse access to the App, suspend or terminate Accounts, and remove or edit content, with or without prior notice, for any breach of these Terms or for protection of the integrity of the Service.

3. Licence to Use the App

Subject to your continuing compliance with these Terms, RootsGoods grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on a Device that you own or control.

• Copy, modify, adapt or reverse-engineer the App.
• Sell, lease or commercialise the App.
• Remove trademarks or proprietary notices.
• Use data-mining, robots or scraping tools.
• Use the App to build a competing product or service.

4. Acceptable Use

You agree that you will not use the App in any way that causes or is likely to cause interruption or damage.

• Any fraudulent, unlawful or criminal purpose.
• Uploading offensive or unlawful content.
• Uploading malware, viruses or harmful code.
• Spam, political campaigning or unsolicited messages.
• Impersonating another person or entity.

5. Warehouse Listings, Orders and Rentals

• You are solely responsible for the accuracy of warehouse data, pricing and order details.
• RootsGoods is only a technology platform and is not a party to transactions between users.
• Storage capacities and quantities should use standardised units such as Quintals or Metric Tonnes.
• Recommended stacking plans are advisory only.

6. AI Features (MaizeGPT and Recommendations)

• AI-generated outputs are advisory and may contain inaccuracies.
• RootsGoods disclaims liability for decisions made using AI outputs.
• Queries submitted to MaizeGPT may be processed by third-party AI providers in accordance with the Privacy Policy .

7. Fees, Payments and Taxes

Certain premium features or transactions may attract fees. Applicable taxes and third-party payment gateway policies also apply.

8. Intellectual Property

All content, trademarks, source code, logos, graphics, designs and software are owned by or licensed to RootsGoods.

9. Third-Party Services

The App may integrate with Google Play Services, payment gateways, communication gateways, mapping providers and AI services.

10. Updates and Availability

We may release updates from time to time and do not guarantee uninterrupted availability of the App.

11. Disclaimer of Warranties

The App and Service are provided on an "as is" and "as available" basis without warranties of any kind.

12. Limitation of Liability

RootsGoods shall not be liable for indirect, incidental or consequential damages arising from use of the App.

13. Indemnity

You agree to indemnify and hold harmless RootsGoods against claims arising from your breach of these Terms.

14. Suspension and Termination

We may suspend or terminate access to the App without prior notice for violations of these Terms.

15. Changes to these Terms

Updated versions of these Terms may be posted on: https://rootsgoods.cloud

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

17. Dispute Resolution

Disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 1996.

18. Force Majeure

RootsGoods shall not be liable for delays caused by events beyond reasonable control including natural calamities, pandemics, war or internet failures.

19. Severability and Waiver

Invalid provisions shall be treated as severable without affecting remaining provisions.

20. Entire Agreement

These Terms together with the Privacy Policy constitute the complete agreement regarding use of the App.
